Berkadia foundation, inc. (the ''foundation'') will make grants for any charitable, educational, literary and/or scientific purpose within the meaning of section 501(c)(3) of the internal revenue code (the ''code''). The foundation will make distributions to such organizations that qualify as tax-exempt organizations under section 501(c)(3) of the code, or would so qualify, and will perform due diligence with respect to each organization prior to making any grant (a pre-grant inquiry). Specifically the foundation will focus its grants and support to such organizations as the board of directors of Berkadia foundation, inc. shall determine from time to time. The foundation may also make grants to organizations in countries other than the United States if such organizations are performing charitable, educational, literary and/or scientific purposes within the meaning of section 501(c)(3) of the code. The foundation will require grantees to report the use of grant funds to ensure grant funds are used for the purposes granted and expended only for the purposes granted. The foundation will devote one hundred percent of its funds and activities to its 501(c).
