Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the Givalgo Discover product (“Service”) operated by Givalgo, Inc.(“Givalgo”, “we”, “our”) at discover.givalgo.ai. By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years old to use the Service. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” means both you individually and the organisation.

2. The Service

Givalgo Discover provides search, analysis, and intelligence tools for U.S. nonprofit organisations, built on top of public IRS data (Exempt Organisations Business Master File, Form 990 filings, Publication 78, Auto-Revocation list, and related sources). The Service is offered on a freemium basis with a free tier and paid Pro / Advanced subscriptions.

3. Account & access

Some features require you to register for an account, handled through our authentication provider (Clerk). You are responsible for (i) maintaining the confidentiality of your credentials, (ii) all activity that occurs under your account, and (iii) notifying us immediately at support@givalgo.ai of any unauthorised access. We may suspend or terminate accounts that violate these Terms.

4. Acceptable use

You agree not to:

  • Scrape, crawl, or systematically harvest the Service or its underlying data, except via expressly published interfaces and within the per-tier quotas
  • Re-sell, redistribute, or sublicense the Service or its data without our prior written consent
  • Circumvent or attempt to circumvent the quota / rate-limit system, sign-up checks, or admin gating
  • Reverse-engineer, decompile, or attempt to extract the source code of any part of the Service that is not open-source
  • Use the Service to send unsolicited messages, harass other users, or perform any unlawful activity
  • Upload or transmit malicious code, viruses, or any content designed to disrupt the Service
  • Use the Service to make decisions about an individual that produce legal or similarly significant effects without independent human review

We rate-limit requests and may temporarily block, throttle, or terminate accounts engaged in abusive or automated behaviour without prior notice.

5. Subscriptions, billing & taxes

5.1 Plans & pricing. Paid plans are billed on a monthly or annual cadence at the rates displayed at checkout. We may change plan pricing prospectively; existing paid subscribers will be notified by email at least 30 days before any price change affecting their next renewal.

5.2 Payment processor. All payments are processed by Stripe, Inc. Your payment information is provided directly to Stripe under their terms of service; we do not store full payment card numbers.

5.3 Free trials. First-time Pro and first-time Advanced subscriptions include a free trial (currently 14 days for Pro, 7 days for Advanced). Your card is captured at trial start but not charged until the trial ends. You can cancel from Settings during the trial at no cost. Trials are limited to one of each type per user.

5.4 Auto-renewal. Paid subscriptions automatically renew at the end of each billing period until you cancel. Cancelling takes effect at the end of the current period — you retain paid access until then. We do not issue prorated refunds for partial periods.

5.5 Refund policy. All sales are final. We do not issue refunds for unused portions of a billing period, accidental purchases, or non-use of the Service. Exceptions may be granted at our sole discretion in response to support requests.

5.6 Taxes. Listed prices are exclusive of any applicable sales, use, value-added, or similar taxes. Where Givalgo is required to collect such taxes, they will be added to your invoice at checkout based on your billing address. You are responsible for any taxes Givalgo is not required to collect.

6. Data accuracy & disclaimers

The organisation data shown on Givalgo Discover is derived from public IRS records and re-published with light normalisation, derived ratios, and peer comparisons. We do not independently audit, verify, or endorse any organisation's practices. Data may be incomplete, delayed, or inaccurate relative to the source filings. See our Data Disclaimer for details.

Nothing on the Service constitutes investment, tax, legal, accounting, or charitable-giving advice. AI-generated summaries are produced by a third-party LLM (Anthropic) and may contain errors or omissions; you are responsible for independently verifying any factual claim before acting on it.

7. Intellectual property

The Service, its software, design, derived datasets, ranking algorithms, peer benchmarks, and brand assets are owned by Givalgo and protected by U.S. and international intellectual-property law. You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business or personal use, subject to these Terms.

Underlying IRS data is in the public domain. Givalgo's derived enrichments (NTEE-derived classifications, computed financial ratios, peer cohorts, AI summaries, etc.) are licensed to you on the same limited basis as the Service — you may use them within the product but may not extract them in bulk or redistribute them.

8. Third-party services

The Service uses third-party providers (listed in our Privacy Policy §5) including AWS, Stripe, Clerk, Anthropic, and Sentry. Your use of those providers is also governed by their respective terms. We are not responsible for outages, errors, or data handling by third parties beyond our reasonable control.

9. Beta features

The Service is currently in beta (as indicated by the “Beta” pill in the header). Features may change, break, or be removed without notice. We do not offer service-level guarantees during the beta period and recommend you not depend on the Service for time-critical or legally-binding decisions.

10. Limitation of liability

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

To the maximum extent permitted by applicable law, Givalgo's aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Givalgo in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). In no event will Givalgo be liable for indirect, incidental, consequential, special, exemplary, or punitive damages (including lost profits, lost revenue, or loss of data), even if advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages; in such jurisdictions our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Givalgo, its officers, directors, employees, and agents from any claim, liability, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right.

12. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we reasonably believe could expose us or other users to liability. Upon termination, Sections 5 (outstanding payments), 7 (intellectual property), 10 (liability), 11 (indemnification), and 14 (governing law) survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be highlighted to signed-in users the next time they visit, and notified by email where required. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Service and you may request deletion of your account.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Service shall be the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of such courts.

Before filing any formal claim, you agree to first contact us in good faith at support@givalgo.ai to attempt to resolve the dispute informally.

15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any policies referenced herein, constitute the entire agreement between you and Givalgo regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for failure or delay caused by events outside our reasonable control.
